Please read these Terms of Service ("Terms") carefully before using ceramicprodirect.com (the "Site"), operated by Ceramic Pro USA ("Ceramic Pro Direct," "we," "us," or "our"). By accessing or using the Site, placing an order, or creating an account, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to all visitors, customers, and others who access or use the Site. Ceramic Pro Direct is a direct-to-consumer and business-to-business e-commerce platform hosted on Shopify and operated by RUPES USA, LLC d/b/a Ceramic Pro USA, headquartered in San Diego, California.

1. Acceptance of Terms

By using this Site, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them, as well as our Privacy Policy and any other policies referenced herein. These Terms constitute a binding legal agreement between you and Ceramic Pro Direct.

We reserve the right to update or modify these Terms at any time without prior notice. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

2. Use of the Site

2.1 Permitted Use

You may use the Site for lawful purposes only and in accordance with these Terms. You agree not to use the Site:

• In any way that violates applicable federal, state, local, or international law or regulation.
• To transmit or procure the sending of any unsolicited or unauthorized advertising or promotional material.
• To impersonate or attempt to impersonate Ceramic Pro Direct, a Ceramic Pro employee, another user, or any other person or entity.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.
• To attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to it.

2.2 Account Registration

Certain features of the Site may require you to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for any activities or actions under your account. Notify us immediately at contact@ceramicpro.com of any unauthorized use of your account.

3. Products and Descriptions

Ceramic Pro Direct offers professional-grade ceramic coatings, paint protection films (PPF), window tint, aftercare products, and related accessories through the Site. We make every effort to describe and display products accurately; however, we do not warrant that product descriptions, images, pricing, or other content on the Site is accurate, complete, reliable, current, or error-free.

Colors and product appearances shown on-screen may vary from actual product appearance due to monitor calibration differences. In the event a product is listed at an incorrect price or with incorrect information due to a typographical error, we reserve the right to refuse or cancel any orders placed for that product.

All products are intended for use by trained professionals or knowledgeable consumers familiar with automotive protection applications. Ceramic Pro Direct assumes no liability for improper application or use.

4. Orders and Payments

4.1 Order Acceptance

Your receipt of an order confirmation does not constitute our acceptance of your order. We reserve the right to limit or cancel quantities purchased per person, per household, or per order at our sole discretion. In the event we cancel or modify an order, we will attempt to notify you using the email address or phone number provided at the time the order was placed.

4.2 Pricing and Taxes

All prices are listed in U.S. dollars and are subject to change without notice. Sales tax will be applied to orders as required by applicable law based on your shipping address. Ceramic Pro Direct is not responsible for any additional customs, duties, or import taxes for international shipments.

4.3 Payment Methods

Ceramic Pro Direct accepts major credit and debit cards, as well as other payment methods made available at checkout through Shopify Payments and our third-party payment partners. All payment transactions are processed securely. Ceramic Pro Direct does not store your full credit card information on our servers.

4.4 Net Terms Financing Through Resolve

Ceramic Pro Direct has partnered with Resolve Pay ("Resolve") to offer qualified business customers the option to purchase on net payment terms (Net 30, Net 60, or Net 90 days) at checkout. Resolve is a third-party B2B net terms and invoice financing platform. The following terms apply to purchases made using Resolve:

a) Credit Application and Approval

To use Resolve at checkout, your business must submit a credit application through Resolve's platform. Credit decisions are made by Resolve using its proprietary AI-powered underwriting engine. Ceramic Pro Direct has no control over Resolve's credit approval process and makes no representations or warranties regarding approval outcomes. Approved credit limits are set at Resolve's sole discretion and may be modified at any time.

b) Net Terms Structure

Upon approval, eligible buyers may complete purchases on deferred payment terms as made available at checkout (Net 30, Net 60, or Net 90 days). Your specific terms will be confirmed during the Resolve application and checkout process. Ceramic Pro Direct is paid by Resolve in advance on approved invoices; your payment obligation is to Resolve, not to Ceramic Pro Direct, following invoice financing.

c) Resolve's Terms and Privacy Policy

By electing to use Resolve at checkout, you agree to be bound by Resolve Pay's Terms of Service and Privacy Policy, available at resolvepay.com. Ceramic Pro Direct is not a party to the financing agreement between you and Resolve. Any disputes regarding net terms billing, collections, payment extensions, or account management must be directed to Resolve directly.

d) Data Sharing

To facilitate the Resolve credit and payment process, certain business and order information (including your name, company name, email, address, and order details) will be shared with Resolve. By selecting Resolve as your payment method, you consent to this data transfer. Please review Resolve's Privacy Policy at resolvepay.com for details on how they handle your information.

e) Late Payments and Collections

Resolve manages all invoicing, payment reminders, and collections on behalf of approved net terms transactions. Late payment fees, penalties, or other charges may be assessed by Resolve in accordance with their terms. Ceramic Pro Direct is not responsible for any fees, interest, or collection actions taken by Resolve.

f) Availability

Net terms financing through Resolve is available to eligible U.S.-based businesses only and is subject to change or discontinuation at any time without notice. Ceramic Pro Direct reserves the right to remove or modify this payment option at its discretion.

5. Shipping and Delivery

Ceramic Pro Direct ships to addresses within the United States. Estimated delivery times are provided at checkout and are estimates only; we do not guarantee delivery by a specific date. Risk of loss and title for products purchased pass to you upon delivery to the shipping carrier.

Shipping fees are calculated at checkout based on order weight, dimensions, and destination. Orders may be subject to carrier delays outside of our control, including weather events, carrier capacity constraints, or other force majeure circumstances. Ceramic Pro Direct is not liable for delays caused by the shipping carrier.

6. Returns and Refunds

Ceramic Pro Direct's return and refund policy is available at ceramicprodirect.com/policies/refund-policy. By placing an order, you agree to the terms of that policy, which is incorporated herein by reference. In general:

• Unopened, unused products in original packaging may be eligible for return within 30 days of receipt.
• Opened or used products are not eligible for return unless defective.
• Customized or special-order products are non-returnable.
• Refunds, if approved, will be issued to the original payment method. For purchases made through Resolve, refunds will be coordinated with Resolve in accordance with their processes.

7. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, product images, button icons, audio clips, digital downloads, data compilations, and software, is the property of Ceramic Pro USA or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

"Ceramic Pro," "KAVACA," "Ceramic Pro Direct," and associated logos and product names are trademarks of Ceramic Pro USA. You may not use these marks without our express prior written permission. Unauthorized use of any Ceramic Pro intellectual property is strictly prohibited.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal or internal business purposes. This license does not include the right to resell or commercially exploit Site content, collect and use product listings, make derivative works, download or copy account information for the benefit of any third party, or use data mining or similar tools.

8. Third-Party Links and Services

The Site may contain links to third-party websites, platforms, or services, including but not limited to Shopify (our e-commerce platform), Resolve Pay (net terms financing), and shipping carriers. These links are provided for your convenience only. Ceramic Pro Direct does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites or services.

Your use of any third-party services linked from our Site is governed by the respective third party's terms and policies. We encourage you to review those terms before engaging with third-party services.

9. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Ceramic Pro Direct does not warrant that: (a) the Site will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Site is free of viruses or other harmful components; or (d) the results of using the Site will meet your requirements.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CERAMIC PRO DIRECT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Site;
• Any conduct or content of any third party on the Site;
• Any content obtained from the Site;
• Unauthorized access, use, or alteration of your transmissions or content;
• Improper application or use of any product purchased through the Site.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Site shall not exceed the amount you paid to Ceramic Pro Direct in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ceramic Pro Direct and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any claim that your use of the Site caused damage to a third party.

12. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Diego County, California, and you hereby consent to the personal jurisdiction and venue of such courts.

For any dispute with a value under $10,000, you agree to attempt to resolve the matter informally by contacting us at contact@ceramicpro.com before initiating any formal legal proceeding.

13. Shopify Platform

The Site is hosted and powered by Shopify Inc. By using this Site, you may also be subject to Shopify's Terms of Service and Privacy Policy, available at shopify.com. Shopify provides the underlying e-commerce infrastructure for checkout, payment processing, and order management. Ceramic Pro Direct is responsible for its use of the Shopify platform and the products and services sold through it.

14. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available at ceramicprodirect.com/policies/privacy-policy. Our Privacy Policy describes how we collect, use, and share information about you when you use the Site. By using the Site, you consent to the collection and use of your information as described in our Privacy Policy.

15. Termination

We may terminate or suspend your access to all or part of the Site, without notice, for any conduct that we, in our sole discretion, believe violates these Terms, is harmful to other users, us, third parties, or the integrity of the Site, or for any other reason.

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Entire Agreement

These Terms, together with the Privacy Policy, Return and Refund Policy, and any other legal notices published by Ceramic Pro Direct on the Site, constitute the entire agreement between you and Ceramic Pro Direct concerning the Site and supersede all prior agreements, representations, and understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
